Nonprofit

Our Nonprofit practice group provides full service support to nonprofit organizations doing business in Washington State and to charitable donors and philanthropists. Our lawyers assist charitable organizations with planning, programming, governance, employment, facilities, tax, and program-related project finance. We assist individuals in developing tax-advantaged charitable giving plans. Many of our lawyers also serve as board members and officers of prominent nonprofit organizations. The Group is supported by the Firm’s trusts and estates, corporate, tax, real estate, employment and intellectual property practice groups and provides counseling, transactional, and dispute resolution services in an efficient and practical manner.

Formation and Organization

We form and qualify IRC § 501(c) organizations.

Tax, Corporate and Finance

We advise exempt organizations on issues relating to their tax status. We assist with mergers, acquisitions, joint ventures, bond financings, mortgage financing, bridge loans and issues related to for-profit and nonprofit subsidiaries.

Governance

Facilities

We assist in the leasing, planning, design, construction and operation of headquarters buildings and program facilities, including libraries, theaters, community centers, sports facilities, and light industrial buildings.

Employment

We assist organizations by designing and reviewing employee handbooks and policies, conducting management training, and advising on compliance with labor and employment laws. We help negotiate and prepare executive employment agreements and advise on the administration of retirement, health, deferred compensation and other employee benefit plans.

Intellectual Property

We draft and negotiate agreements that cover the transfer and licensing of copyrights and publicity rights, assist with brand and marketing strategies, negotiate and draft nondisclosure agreements, and prepare policies and agreements for websites and Internet commerce.

Philanthropy

Our donor-related charitable planning activities range from structuring tax-advantaged gifts to establishing family foundations, charitable trusts (including both charitable remainder and charitable lead trusts) and donor-advised funds and supporting organizations.

Civic, Pro Bono and Support Activities

Our attorneys provide leadership as officers, directors and counselors to many civic organizations. We provide pro bono legal services to dozens of individuals and to more than 50 organizations. Our attorneys provide board service and volunteer support to over 100 community organizations and the firm provides financial support to 50 charities.
