We represent a number of medical device companies. Representative work includes:
- Representing several medical device manufacturers in the creation of worldwide distribution networks
- Representing a privately held medical device company in connection with its spin-off of certain technology, cross-license agreement, negotiation of ongoing milestone-based equity and debt financing and a pre-negotiated and shareholder-approved merger agreement, including a complex earn-out structure, in connection with a large public company's 5-year option to acquire the target company
